SoundMint — Prohibited & Acceptable Use Policy
Effective Date: July 10, 2026
Operator: Bradley Jackson, a sole proprietor, doing business as SoundMint ("SoundMint," "we," "us," or "our"), located at Michigan, USA (public mailing address pending; contact hello@soundmint.com). SoundMint is currently operated by an individual and may in the future assign this Policy and the accounts and obligations governed by it to a successor entity (including a limited-liability company or corporation formed by the Operator), and this Policy will bind and benefit that successor.
1. Introduction and Purpose
1.1 This Prohibited & Acceptable Use Policy (this "Policy") governs everything you list, upload, sell, buy, transmit, or do on or through the SoundMint platform, including the Studio/Workspace, the Crate marketplace, the Player, the Vault, and any associated websites, applications, and application programming interfaces (collectively, the "Platform"), accessible at https://soundmint.com.
1.2 This Policy applies to all users, whether you are a "Creator" (a user who lists, sells, or distributes content — including music, sound packs, beat licenses, Vault memberships, and onchain tokens) or a "Fan" (a user who discovers, buys, collects, or accesses content), and whether or not you have registered an account. "You" means any user of the Platform.
1.3 SoundMint acts as the merchant of record for sales made through the Platform: Fans purchase from SoundMint, SoundMint collects payment, retains a platform fee, and transfers the remainder to the applicable Creator. Because SoundMint stands in the middle of every transaction, what Creators sell is SoundMint's compliance, legal, and reputational exposure — and this Policy exists to protect the Platform, its users, its payment processors, and rights holders from misuse.
1.4 This Policy is incorporated into, and is a part of, SoundMint's Terms of Service and Seller Agreement (the "Terms"). Capitalized terms not defined here have the meaning given in the Terms. In the event of a conflict between this Policy and the Terms, the Terms control, except that the enforcement rights in Section 8 are cumulative and in addition to all rights in the Terms.
2. Definitions
2.1 "Content" means any audio recording, composition, sound pack, sample, stem, loop, beat, artwork, image, text, metadata, license document, token, or other material that a user uploads, lists, sells, distributes, streams, or transmits through the Platform.
2.2 "Listing" means any Content a Creator offers for sale, license, subscription, or collection through the Platform, including sound packs, beat licenses, Vault memberships, collector tokens, and ownership tokens.
2.3 "Rights" means all intellectual-property and related rights in Content, including copyrights in the sound recording (master) and in the underlying musical composition, mechanical and performance rights, sample and interpolation clearances, trademark, name, image, likeness, publicity, and moral rights.
2.4 "Rights Attestation" means the representation described in Section 3 that a Creator makes about each Listing.
2.5 "Payment Processor" means Stripe, Inc. and its affiliates and any other payment or settlement provider SoundMint uses. "Stripe Agreements" means the Stripe Services Agreement, the Stripe Connected Account Agreement, and Stripe's Restricted Businesses list, each as amended.
2.6 "Payout Hold" means a suspension of transfers or payouts to a Creator. "Reserve" means funds withheld from, or held back against, a Creator's balance or future earnings. "Takedown" means removal or disabling of access to a Listing or Content.
3. Seller Rights Attestation — You May Only Sell Music You Own or Control
This Section is the most important obligation in this Policy. The single greatest risk to SoundMint and to every honest Creator on the Platform is a Creator selling music they do not have the right to sell. Read this Section carefully. By listing Content for sale, you make each of the representations below, and you make them again, separately, for every Listing.
3.1 Per-Listing attestation. Before a Listing becomes payable, and each time you create, edit, or re-list Content, you must affirmatively attest that you own or control all Rights necessary to sell, license, and deliver that specific Content on the terms offered. SoundMint records this attestation (who attested, to what, and when) as a condition of listing. The attestation is not a formality; it is a binding representation on which SoundMint and Fans rely.
3.2 Ownership and control. You represent and warrant, for each Listing, that:
(a) you own, or have a valid, current, written license or assignment granting you the right to exploit and sell, both the sound recording (master) and the underlying musical composition embodied in the Content;
(b) every sample, interpolation, loop, replayed part, vocal, stem, or third-party element contained in the Content is either (i) original to you, (ii) properly licensed or cleared for the exact use and distribution you are offering, with documentation you can produce on request, or (iii) in the public domain or used under a license that expressly permits your use and resale;
(c) you have obtained all consents, clearances, and releases required from all co-writers, producers, featured performers, session musicians, and other contributors, and you are authorized to receive and distribute payment on their behalf;
(d) the sale, license, or delivery of the Content, and the license or ownership rights you purport to grant to Fans, do not and will not infringe, misappropriate, or violate any Rights of any third party;
(e) you have the right to grant, and are granting, the specific rights described in your Listing (for example, a lease, an exclusive license, a collector token, or an ownership token), and those rights are consistent with any prior grants you have made on or off the Platform; and
(f) any name, likeness, voice, image, trademark, logo, or artist identity used in or associated with the Content is yours or is used with the documented permission of the rights holder, and the Content does not falsely suggest the endorsement, authorship, or participation of any artist, brand, or person.
3.3 AI-generated and AI-assisted Content. If Content was generated or materially assisted by artificial intelligence, you represent that you have the right to commercialize the output, that the training or generation did not require rights you do not hold, and that the output does not clone or imitate the voice, likeness, or identity of a real artist without documented authorization. You must disclose AI-generated vocals or voice cloning where required by law or by SoundMint.
3.4 No stolen, leaked, bootleg, or uncleared material. You may not list, sell, or distribute: ripped or re-uploaded commercial masters; leaked or unreleased material you do not own; bootlegs; "type beats" or drum kits that copy or repackage another producer's copyrighted work without authorization; sample packs assembled from uncleared commercial recordings; or any Content whose Rights you cannot document. When in doubt, do not list it.
3.5 Documentation and cooperation. You must retain, and produce to SoundMint promptly on request, evidence of your Rights and clearances (licenses, split sheets, sample-clearance agreements, assignments, releases). Failure or refusal to produce such evidence is itself a violation of this Policy and grounds for the enforcement actions in Section 8.
3.6 Your liability; indemnification. You are solely responsible for your Content and Listings. As set out more fully in the Terms, you are liable for all refunds, chargebacks, fees, fines, penalties, and third-party claims (including copyright and other intellectual-property claims) arising from your Content or Listings, and you agree to indemnify SoundMint and Bradley Jackson personally against them. SoundMint's right to reserve, withhold, delay, offset, and reverse funds under Section 8 exists precisely to make this responsibility enforceable.
4. Prohibited Content
You may not upload, list, sell, distribute, stream, link to, or transmit any of the following through the Platform. Intellectual-property violations are listed first and enforced most strictly because they are the Platform's foremost risk.
4.1 Intellectual-property infringement, stolen or uncleared music (highest priority)
The following are strictly prohibited and may result in immediate Takedown, Payout Hold, and account termination:
(a) Content you do not own or control, or that you cannot support with valid Rights and clearances as required by Section 3;
(b) sale or distribution of music, recordings, software, or any other licensed materials without appropriate authorization;
(c) uncleared samples, interpolations, replayed parts, loops, or stems, and sample packs, beat kits, or drum kits built from them;
(d) ripped, leaked, bootleg, or counterfeit recordings, and unauthorized copies or repackaging of another creator's work;
(e) counterfeit goods, and the unauthorized sale of brand-name, designer, or trademarked products, names, logos, or artwork;
(f) impersonation of, or falsely attributing Content to, another artist, producer, rights holder, or brand, or otherwise passing off another's work as your own;
(g) any other Content or service that directly infringes or facilitates infringement of the copyright, trademark, patent, trade-secret, publicity, or other proprietary or privacy rights of any third party; and
(h) Content that matches SoundMint's audio watermark, Track Source provenance, or other detection systems as belonging to another SoundMint Creator, which SoundMint treats as evidence of willful infringement (see Section 8.4).
Copyright complaints and takedowns are handled under SoundMint's separate DMCA / Copyright Policy, which includes a notice-and-takedown procedure, a counter-notice procedure, and a repeat-infringer policy. Nothing in this Section limits that policy.
4.2 Illegal, harmful, and exploitative content
(a) Content that is illegal, promotes illegal activity, or facilitates the infringement of others' legal rights;
(b) Child sexual abuse material (CSAM) and any content that sexualizes, exploits, or endangers minors — zero tolerance. SoundMint will remove such content immediately, terminate the account, preserve evidence, and report to the National Center for Missing & Exploited Children (NCMEC) and law enforcement;
(c) pornographic or sexually explicit material, escort or sexual services, and other adult content designed for sexual gratification, including AI-generated sexual content;
(d) content that incites, threatens, glorifies, or facilitates violence, terrorism, self-harm, or serious harm to any person or group;
(e) hate speech or content that harasses, degrades, or promotes discrimination or violence against people based on race, ethnicity, national origin, religion, disability, age, sex, gender identity, or sexual orientation; and
(f) content that unlawfully harasses, defames, doxes, or invades the privacy of any person, or that exposes personal or confidential data without authorization.
4.3 Fraudulent and deceptive content
(a) false, misleading, or deceptive Listings, metadata, artist attributions, credits, licenses, or pricing;
(b) phishing, spoofing, fake giveaways, or content designed to deceive users into revealing credentials, making payments, or transferring assets; and
(c) pyramid schemes, "get rich quick" schemes, or any unfair, deceptive, or abusive practice.
4.4 Malware and technically harmful content
Viruses, malware, ransomware, spyware, or any code, file, or link intended to disrupt, damage, or gain unauthorized access to any system, data, or user.
4.5 Regulated, restricted, and network-prohibited content
Content or offerings that fall within any category prohibited or restricted by SoundMint's Payment Processor or by card-network rules (Section 5), including but not limited to illegal drugs and drug paraphernalia, weapons and munitions, gambling and games of chance for value, tobacco and vaping products, prescription and pseudo-pharmaceutical products, financial or money-transmission services, and any other category identified in the Stripe Restricted Businesses list.
5. Prohibited Businesses — Payment-Network Compliance
5.1 Incorporation by reference. Because SoundMint is the merchant of record and processes payments through Stripe and the card networks, you must also comply with, and you may not use the Platform in any way prohibited or restricted by: (a) the Stripe Restricted Businesses list and the other Stripe Agreements; and (b) the operating rules of the applicable card networks, including the Visa Core Rules and Visa Product and Service Rules and the Mastercard Rules. Each of the foregoing is incorporated into this Policy by reference and may change without notice to you.
5.2 Prohibited and restricted categories. Without limiting Section 4, you may not use the Platform to offer, sell, or facilitate any business, product, or service that Stripe or the card networks prohibit or restrict, including (as representative examples, not an exhaustive list): intellectual-property-infringing or counterfeit goods; unauthorized sale of licensed materials; adult content and services; illegal or age-restricted drugs, substances, and paraphernalia; weapons; gambling and betting; regulated financial services, money transmission, and debt services; multi-level-marketing and pyramid schemes; and any product or service making unlawful, deceptive, or unsubstantiated claims. Stripe's own list states that the categories it publishes "are representative of prohibited categories, but this is not an exhaustive list."
5.3 Consequence of network violations. A violation of the Stripe Agreements or card-network rules can cause SoundMint's own payment-processing account to be suspended or terminated, harming every Creator and Fan on the Platform. SoundMint therefore treats these violations as material and will enforce them under Section 8 up to and including immediate termination.
5.4 Onchain sales. Sales settled in cryptocurrency (for example, USDC collector or ownership tokens) are also subject to Sections 3, 4, 6, and 8. Using the Platform to launder funds, evade sanctions, or trade tokens representing infringing or prohibited Content is prohibited regardless of the settlement rail.
6. Prohibited Conduct
Regardless of the Content involved, you may not:
6.1 Commit fraud or payment abuse — use stolen, unauthorized, or fraudulent payment credentials; engage in money laundering, sanctions evasion, structuring, or transaction laundering; sell to yourself or use synthetic buyers to inflate sales; or misrepresent your identity, location, or eligibility.
6.2 Abuse chargebacks and disputes — initiate chargebacks or payment disputes in bad faith, including disputing a charge for Content you received and used, or threatening chargebacks to coerce a Creator or SoundMint. Fans should first contact hello@soundmint.com; abusive dispute behavior may result in account termination and loss of access to purchased Content.
6.3 Circumvent fees or the Platform — solicit, arrange, or complete a transaction off-Platform, or route payments outside the Platform, in order to avoid SoundMint's platform fee, a Payout Hold, a Reserve, tax collection, or any obligation under this Policy or the Terms; or manipulate pricing or refunds to the same end.
6.4 Strip watermarks or tamper with provenance — remove, alter, obscure, or defeat any SoundMint audio watermark, license document, Track Source provenance record, onchain seal, digital-rights-management, or access control; or falsify, forge, or manipulate provenance, credits, or ownership records.
6.5 Evade enforcement — create or operate multiple or replacement accounts to evade a suspension, termination, Payout Hold, Reserve, or repeat-infringer strike; onboard again under a different identity after termination; or facilitate another person's evasion.
6.6 Scrape, reverse-engineer, or attack — access the Platform by automated means (scraping, crawling, harvesting) except as expressly permitted; reverse-engineer, decompile, or probe the Platform or its security; bypass rate limits, authentication, or access controls; or launch denial-of-service or other attacks that impair the Platform.
6.7 Manipulate the marketplace — use bots, fake accounts, or artificial engagement to inflate plays, collects, sales, rankings, reviews, or reputation, or to manipulate any bonding curve, token price, or discovery surface.
6.8 Misuse other users' data — collect, store, or use another user's personal data except as necessary to complete a legitimate transaction and as permitted by SoundMint's Privacy Policy and applicable law.
6.9 Harass or harm other users — harass, threaten, stalk, defame, or abuse other users, or interfere with their use of the Platform.
7. Additional Seller Obligations
7.1 Accurate Listings. Creators must describe Content truthfully, including its license type and scope, contributor credits, sample status, and price. Metadata, artwork, and license terms must not mislead Fans about what they are buying.
7.2 Honor the rights you sell. Creators must deliver the exact rights represented in a Listing and must not later revoke, resell exclusively, or double-sell rights in a way that conflicts with a completed sale.
7.3 Compliance with law. Creators are responsible for complying with all laws applicable to their sales, including intellectual-property, consumer-protection, tax, export, and sanctions laws.
8. Enforcement and Consequences
8.1 SoundMint's discretion. SoundMint may investigate suspected violations and, at its discretion and without prior notice, take any one or more of the actions below. SoundMint is not obligated to monitor Content but may do so, including through automated watermark and provenance detection. Enforcement decisions are made to protect the Platform, its users, rights holders, and its Payment Processor.
8.2 Available actions. Depending on the nature and severity of a violation, SoundMint may:
(a) remove, disable, hide, or restrict access to any Listing or Content (Takedown), and de-list or unpublish a Creator's catalog;
(b) place a Payout Hold on some or all of a Creator's transfers or payouts;
(c) establish or increase a Reserve, and withhold, delay, offset against future earnings, and reverse transfers, to cover actual or anticipated refunds, chargebacks, fees, fines, taxes, and indemnified claims;
(d) refuse, cancel, or reverse a transaction, or issue a refund;
(e) issue warnings, apply strikes, or impose limits on selling, listing, uploading, or purchasing;
(f) suspend or terminate an account and revoke access to the Platform;
(g) report the violation and associated information to the Payment Processor, card networks, rights holders, NCMEC, and civil or criminal law-enforcement authorities, and cooperate with their investigations; and
(h) pursue the debt and any other remedies available at law or under the Terms, including indemnification.
8.3 Fees are not refunded on termination for cause. If SoundMint terminates or restricts an account or Listing for a violation of this Policy, SoundMint is not obligated to refund any platform fee earned, and it may reverse the Creator's transfer for the affected sale. Termination does not relieve a Creator of liability for refunds, chargebacks, fees, fines, or third-party claims arising before termination.
8.4 Copyright strikes and repeat infringers. SoundMint maintains a repeat-infringer policy under its DMCA / Copyright Policy. Three (3) strikes for copyright or other intellectual-property infringement will result in termination of the account and a block on re-onboarding by the same verified identity. SoundMint may terminate immediately, on a first instance and without a strike sequence, for willful or obvious infringement, including where SoundMint's audio-watermark or provenance detection matches a Listing to another SoundMint Creator's registered work, or where a Creator has clearly uploaded stolen, leaked, or counterfeit material.
8.5 No waiver; cumulative remedies. SoundMint's decision not to enforce a provision in any instance is not a waiver of its right to enforce it later. All remedies are cumulative and in addition to those in the Terms and at law.
8.6 Effect on Fans. A Fan who violates this Policy — including through fraud, chargeback abuse, or circumvention — may have their account suspended or terminated and may lose access to Content, subject to applicable law.
9. Reporting Violations
9.1 General violations. To report Content or conduct that you believe violates this Policy — including fraud, prohibited content, impersonation, or fee circumvention — contact hello@soundmint.com. Please include the URL or identifier of the Listing or account, a description of the violation, and any supporting information.
9.2 Copyright and intellectual-property complaints. Notices of copyright infringement must be sent to SoundMint's designated agent under the DMCA / Copyright Policy:

A copyright notice should identify the copyrighted work, identify the infringing Listing or material and its location, and include the statements and signature required by 17 U.S.C. § 512(c)(3). The DMCA / Copyright Policy governs the full notice-and-takedown, counter-notice, and repeat-infringer procedures.
9.3 Child-safety reports. Suspected child sexual abuse material or exploitation should be reported immediately to hello@soundmint.com and may also be reported directly to the NCMEC CyberTipline and law enforcement.
9.4 No retaliation for good-faith reports. SoundMint does not penalize users for good-faith reports of violations. Knowingly false or abusive reports are themselves a violation of this Policy.
10. Relationship to Other Policies
10.1 This Policy operates together with, and does not replace, SoundMint's Terms of Service and Seller Agreement, Buyer Refund Policy, DMCA / Copyright Policy, and Privacy Policy. Where a specific procedure (for example, copyright takedowns or refunds) is governed by another policy, that policy controls the procedure, and this Policy governs the standards of conduct and SoundMint's general enforcement rights.
11. Changes to This Policy
11.1 SoundMint may update this Policy from time to time to reflect changes in law, payment-network rules, or Platform features. Material changes will be posted at https://soundmint.com with an updated Effective Date. Your continued use of the Platform after a change takes effect constitutes acceptance of the updated Policy.

This Policy is governed by the laws of the State of Michigan, and any dispute arising under it is subject to the dispute-resolution provisions of the Terms, including any arbitration and venue provisions (Menominee County, Michigan), without regard to conflict-of-laws principles.
